Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your access to and use of the CosmoVue platform and services, including our AI-powered video interviewing services (collectively, the "Services"), operated by CosmoVue. ("CosmoVue," "we," "us," or "our"). Please read these Terms carefully before using our Services.

By accessing or using our Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you may not access or use the Services.

2. Account Registration and Security

To access certain features of our Services, you must register for an account. When you register, you agree to provide accurate, current, and complete information about yourself. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account or any other breach of security.

3. Subscription and Payments

Some of our Services require payment of fees. You agree to pay all applicable fees as described on our website. Unless otherwise stated:

  • All fees are quoted in U.S. Dollars
  • Payments are due in advance
  • Fees are non-refundable except as required by law or as explicitly stated in these Terms
  • We reserve the right to change our fees at any time, with notice provided to you

If your payment method fails or your account is past due, we may restrict or suspend your access to the Services.

4. Free Trial

We may offer a free trial period for certain subscription plans. The specific terms of the free trial, including its duration, will be specified at the time of sign-up. We reserve the right to modify or terminate free trials at any time without prior notice.

5. Acceptable Use

When using our Services, you agree not to:

  • Violate any applicable laws, regulations, or third-party rights
  • Use the Services for any unlawful purpose or to promote illegal activities
  • Upload, transmit, or distribute any content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
  • Attempt to gain unauthorized access to any portion of the Services or any systems or networks connected to the Services
  • Use the Services in a manner that could disable, overburden, damage, or impair the operation of the Services
  • Attempt to reverse engineer, decompile, or disassemble any portion of the Services
  • Collect or harvest any information from the Services, including personally identifiable information, without proper authorization
  • Use the Services to discriminate against job candidates based on protected characteristics (e.g., race, gender, age, etc.)

6. Content and Intellectual Property

6.1 Your Content

You retain ownership of any content you submit, post, or display through our Services ("Your Content"). By submitting Your Content to our Services, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and distribute Your Content for the purpose of providing and improving the Services.

You represent and warrant that you have all rights necessary to grant us the license to Your Content, and that Your Content does not violate any third-party rights or applicable laws.

6.2 CosmoVue Intellectual Property

The Services, including all content, features, and functionality, are owned by CosmoVue or our licensors and are protected by copyright, trademark, patent, and other intellectual property laws. You may not use our intellectual property without our prior written consent.

7. Artificial Intelligence and Data Processing

Our Services incorporate artificial intelligence (AI) technology to conduct and analyze interviews. You acknowledge and agree that:

  • The AI technology may process and analyze video recordings, audio transcripts, and responses to generate insights and summaries
  • While we strive to ensure accuracy and fairness, AI technology has limitations and may not be perfect
  • You should review AI-generated summaries and insights before making hiring decisions
  • We may use anonymized data to improve our AI models and Services

8. Privacy

Our Privacy Policy, available at cosmovue.com/privacy-policy, explains how we collect, use, and protect your personal information. By using our Services, you consent to the collection and use of your information as described in our Privacy Policy.

9. Third-Party Services

The Services may contain links to third-party websites or services that are not owned or controlled by CosmoVue. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that CosmoVue shall not be responsible or liable for any damage or loss caused by the use of any such third-party services.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.

11. Limitation of Liability

IN NO EVENT SHALL COSMOVUE, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (III) ANY CONTENT OBTAINED FROM THE SERVICES; OR (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

12. Indemnification

You agree to defend, indemnify, and hold harmless CosmoVue, its officers, directors, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Services; (ii) your violation of any term of these Terms; (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that Your Content caused damage to a third party.

13. Termination

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including, but not limited to, if you breach these Terms. Upon termination, your right to use the Services will immediately cease. If you wish to terminate your account, you may simply discontinue using the Services or contact us to request account deletion.

14. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. You agree to submit to the personal jurisdiction of the courts located in San Francisco County, California for the purpose of litigating all such claims.
